• Una Junta General Extraordinaria de United Kingdom mutual Steam Ship Assurance Association (Bermuda) Limited (UKB) tendrá lugar el 19 de enero de 2017 en Bermuda.

ACCIÓN
• Los Miembros deben asegurarse de que se han enviado los formularios de poder completos al Secretario y se reciban no más tarde de las 12 horas previas a la reunión.

Por favor, encuentre adjunta la documentación necesaria para la Junta General Extraordinaria, la cual tendrá lugar el 19 de enero de 2017 en Bermuda.
Leyes
La Junta General Extraordinaria pedirá adoptar las modificaciones de las Leyes de United Kingdom mutual Steam Ship Assurance Association (Bermuda) Limited (UKB) y la United Kingdom mutual Steam Ship Assurance Association (Europa) Limited (UKE). Respecto a la UKE, dichas enmiendas sólo pueden ser acordadas por la UKB como único miembro del UKE, y la aprobación de la resolución será tratada como una autoridad por la UKB para modificar las Leyes de la UKE.
Remuneración
La Junta General Extraordinaria también pedirá aprobar un incremento en la Tasa Anual pagada al Presidente del UKB. La Tasa Anual suele ser 12.000 dólares, la cual se fijó en 1995 y ya no está en consonancia con las responsabilidades del Presidente. Se propone fijar la tasa en 35.000 dólares. Al Presidente también se le abonan las tasas de asistencia, las cuáles son iguales que las que se le abonan a cualquier Director (habitualmente 4.000 dólares por reunión, fijado en 2007) y se propone que estos se mantengan sin variaciones.

El formulario de poder y el horario de las votaciones están adjuntos con respecto a las resoluciones contenidas en la convocatoria de la Junta.
Recuerde que el formulario completo debe llegar al Secretario vía email, fax o correo postal como mínimo 12 horas antes de la celebración de la Junta.

Limited (UKB) will be held on 19th January 2017 in Bermuda.

ACTION
• Members should ensure their completed proxy form is sent to the Secretary to arrive no later than 12 hours
before the meeting.

Please find enclosed papers for a Special General Meeting to be held on 19th January 2017 in Bermuda.
Rules
The SGM will be asked to adopt amendments to the Rules of The United Kingdom Mutual Steam Ship
Assurance Association (Bermuda) Limited (UKB) andThe United Kingdom Mutual Steam Ship Assurance
Association (Europe) Limited (UKE). In respect of UKE, such amendments can be agreed only by UKB as the
sole Member of UKE, and the passing of the resolution will be treated as providing authority for UKB to
amend UKE’s Rules accordingly.
Remuneration
The SGM will also be asked to approve an increase in the annual fee paid to the Chairman of UKB.The
current annual fee of US$12,000 was set in 1995 and is no longer commensurate with the Chairman’s
responsibilities. It is proposed that the fee be raised to US$35,000.The Chairman is also paid attendance fees,
which are the same as for any other Director (currently US$4,000 per meeting, set in 2007) and it is proposed
that these be left unchanged.

A Proxy Form and Schedule ofVotes are enclosed in respect of the resolutions contained in the Notice ofMeeting.
